1. Key Definitions
1.1 Partner means the individual or entity that applies to and is accepted into the Program.
1.2 Partner Link means a unique URL or other mechanism that attributes Prospects to an Partner.
1.3 Attribution Window means the period during which a valid click on an Partner Link may be credited to the Partner. The default is thirty (30) days unless stated otherwise in the Partner Dashboard.
1.4 Commission means the amount payable to an Partner under the then‑current Partner Dashboard for Qualified Actions.
1.5 Partner Dashboard means the program rules describing payout rates, eligibility criteria, thresholds, exclusions, hold periods, clawback rules, and timing, as updated by Dodo from time to time.
1.6 Content means any marketing, copy, video, audio, code snippet, or other material created or used by the Partner to promote Dodo.
1.7 Qualified Action means a Prospect that, within the Attribution Window, signs up through the Partner Link, successfully completes onboarding and any required KYC or compliance steps, meets the minimum criteria in the Partner Dashboard, and remains in good standing through the applicable hold period.
1.8 Prospect means a new business that is not an existing or prior customer of Dodo and is not already engaged in active sales discussions with Dodo at the time of the referral.
2. Enrollment and Eligibility
2.1 Application. You must submit a complete and accurate application. We may accept or reject any application at our sole discretion.
2.2 Eligibility. You must be at least 18 years old and have authority to bind your organisation. If you are under 18 but at least 13, you may participate only if your parent or legal guardian reviews these Terms and expressly consents to your participation. We may require written evidence of such consent.
2.3 Compliance With Merchant Acceptance Policy. You may refer only Prospects eligible under Dodo’s Merchant Acceptance Policy and must not refer prohibited or restricted business types.
2.4 Jurisdiction. You may participate only where the Program is lawful. We may require identity verification, tax information, and compliance screening.
2.5 Account. Upon acceptance, you will receive access to an Partner dashboard to obtain Partner Links, view attribution, access Program Policies, and review the Partner Dashboard.
3. Program Conduct and Restrictions
3.1 Compliance with Laws. You must comply with all applicable laws, including advertising, marketing disclosure, and data‑protection laws.
3.2 Accurate Representations. All statements about Dodo must be truthful, accurate, and consistent with Dodo’s publicly available documentation.
3.3 Prohibited Activities. You will not:
send spam or unsolicited communications;
misuse or obscure Partner Links (including cookie stuffing);
bid on Dodo brand names or trademarks;
use framing, cloaking, or misleading practices;
offer incentives not permitted in the Partner Dashboard;
imply endorsement or authority to bind Dodo;
market to restricted use cases under Dodo's policies;
violate anti‑bribery, anti‑corruption, or sanctions laws.
3.4 Content Standards. Your Content must comply with applicable laws, IP rights, and Dodo brand guidelines.
3.5 Use of Marks. We grant you a limited, revocable licence to use our Marks solely to promote Dodo. You must follow our brand guidelines. We may revoke or modify your licence at any time. We may require pre‑approval of Content using our Marks.
4. Attribution, Qualified Actions, and Exclusions
4.1 Attribution. A Prospect is attributed to you when the Prospect clicks your Partner Link and completes a Qualified Action within the Attribution Window.
4.2 Existing Relationships. Referrals are not eligible if the Prospect is an existing customer, in trial, or in active sales discussions, or appears on Dodo’s exclusion list.
4.3 Fraud and Invalid Activity. Fraudulent or invalid activity will not qualify for Commissions and may result in suspension, termination, and clawback.
5. Commissions and Payment
All commission rates, hold periods, payout thresholds, clawback rules, and other payment‑related terms are displayed dynamically in your Partner Dashboard and may change from time to time.
5.1 Partner Dashboard. Rates, hold periods, thresholds, exclusions, and clawback rules are set out in the Partner Dashboard. All Commissions are provisional until the hold period expires.
5.2 Accrual and Threshold. Commissions accrue only after a Qualified Action and after the Prospect remains in good standing through the hold period.
5.3 Timing and Method. Payments are made periodically using your selected payout method. We may withhold payment until accurate payout and tax details are provided.
5.4 Currency and Fees. Commissions are paid in USD unless stated otherwise. You are responsible for bank, transfer, conversion, or network fees.
5.5 Refunds, Chargebacks, and Clawbacks. If a referred customer churns, is refunded, fails compliance, or results in chargebacks, we may deduct or reverse related Commissions, including from future payouts.
5.6 Taxes. You are responsible for all tax, social security, and withholding obligations associated with your participation and Commissions.
6. Data, Privacy, and Security
6.1 Compliance. You must comply with all applicable data‑protection laws, including GDPR, CCPA, and ePrivacy rules.
6.2 Disclosures and Consent. You must provide all required disclosures to end‑users regarding tracking, cookies, and referral attribution, and obtain all required consents.
6.3 Restrictions. You must not misuse tracking scripts, mis‑attribute clicks, or transmit personal data to Dodo without appropriate consent.
6.4 Data Sharing. You consent to Dodo collecting, processing, and sharing tracking and attribution data for Program operation and analytics.
6.5 Security. You must implement reasonable security measures to protect any data processed for the Program.
7. Term and Termination
7.1 Term. These Terms begin upon acceptance and continue until terminated.
7.2 Termination by Either Party. Either party may terminate at any time upon notice.
7.3 Termination for Cause. We may immediately suspend or terminate participation for breach, fraud, legal violation, or harm to Dodo.
7.4 Effect of Termination. Upon termination, you must remove Partner Links, cease using Marks, and delete or disable promotional Content. We will pay earned and undisputed Commissions for Qualified Actions completed before termination, subject to the hold period, offsets, and clawback rights. No Commissions accrue after termination.
7.5 Survival. Sections relating to payment, taxes, confidentiality, IP, indemnity, limitation of liability, dispute resolution, and survival remain in effect.
8. Intellectual Property and Confidentiality
8.1 Ownership. Dodo retains all rights in its Services, Marks, documentation, and Confidential Information.
8.2 Confidentiality. You must protect Dodo’s Confidential Information and use it only for the Program.
9. Representations, Warranties, and Disclaimers
9.1 By Partner. You represent that you have authority to accept these Terms and that your participation complies with all laws.
9.2 Disclaimer. The Program is provided "as is" without warranties.
10. Indemnification
You will indemnify and hold harmless Dodo and its partners from any claims arising from your participation, Content, or breach of these Terms.
11. Limitation of Liability
Dodo is not liable for indirect or consequential damages. Our liability will not exceed the greater of $500 or the Commissions paid to you in the preceding three months.
12. Brand and Channel Controls
12.1 Search and Ads. You may not bid on Dodo brand terms.
12.2 Domains and Social Handles. You may not register domains or handles containing Dodo Marks.
12.3 Email and Messaging. Emails must include accurate sender information and unsubscribe mechanisms.
13. Program Changes
We may modify, suspend, or terminate the Program or these Terms at any time. Changes are effective when posted in the Partner dashboard. Material reductions in Commission rates will take effect no earlier than 30 days after notice. Continued participation constitutes acceptance.
14. Relationship of the Parties
You are an independent contractor, not an employee, agent, or partner of Dodo.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and each party irrevocably submits to that jurisdiction. We may seek injunctive or equitable relief in any court of competent jurisdiction.
16. Notices
We will send notices to the email address associated with your Partner account. You must send notices to the address specified in the Partner dashboard. Notices are effective upon sending.
17. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign without consent to an partner or in connection with a merger, acquisition, or sale of assets.
18. Export and Sanctions Compliance
You must comply with all applicable export control and sanctions laws and may not participate if you are subject to restrictions or located in an embargoed jurisdiction.
19. Entire Agreement and Order of Precedence
These Terms, together with the Partner Dashboard and Program Policies, constitute the entire agreement. In case of conflict, the Partner Dashboard controls on payout matters.
20. Severability and Waiver
If any provision is unenforceable, it will be modified to the minimum extent necessary to be enforceable. No waiver of any term is a waiver of any other term.
